Allied Media Platform Terms of Use

1. Application of these terms
By accessing or using the Allied Media Platforms, you agree to these platform terms of use (Terms), your Subscriber Terms (if any), and any additional terms or notices posted on the Allied Media Platforms. If you do not agree to these terms, you must stop using the Allied Media Platforms.
These Terms apply to your general use of the Allied Media Platforms and apply irrespective of whether you are a Subscriber.
If you are an advertiser on the Allied Media Platforms, these Terms apply to you in addition to the Allied Media Advertising Terms available here. In the event of any inconsistency between these Terms and the Allied Media Advertising Terms in connection with your use of the Allied Media Platforms, these Terms will take precedence.
The Allied Media Platforms are owned and operated by Allied Press Limited (NZBN 9429034064733) (trading as Allied Media) (Allied Media, we, us or our).

2. Subscriber-only Content
a. To access Subscriber-only Content, you must hold a Subscription.
b. We reserve the right to charge a fee for access to parts of any Allied Media Platform. You will not be charged for access to any restricted-access areas of our Allied Media Platforms without your prior consent, including by registering for a Subscription.
c. If you are a Subscriber, the Subscriber Terms will apply to your use of the Allied Media Platforms. In the event of any inconsistency between these Terms and the Subscriber Terms, the Subscriber Terms will take precedence.
3. Your use of the Allied Media Platforms
a. You agree to use the Allied Media Platforms only for lawful purposes and for the purposes expressly permitted by these Terms and if applicable, your Subscriber Terms.

If you create or use an account to access any Allied Media Platform or Subscriber-only Content, you must keep your login credentials secure and confidential and must not permit any other person to use your account. You must notify us promptly if you become aware of any unauthorised access to or use of your account. You are responsible for all activities conducted through your account, except to the extent caused by our breach of these Terms.
4. Platform availability and security
a. We use all reasonable endeavours to ensure that the Allied Media Platforms are available at all times. You acknowledge however that your use of the Allied Media Platforms and associated services may be subject to interruption or delay and that we do not give any warranty or make any representation that your access to the Allied Media Platforms and associated services will be error free, without interruption or delay or secure.
b. We do not guarantee that the Allied Media Platforms or Platform Material will be free from viruses or other defects that may affect your device, software or other services.
c. We are not responsible for any defect or failure in any third-party application, software, hardware or service. You are solely responsible for ensuring you have the hardware, software and services needed to access and use the Allied Media Platforms. We do not give any warranty, make any representation or otherwise guarantee the compatibility of the Allied Media Platforms with all user devices, software and/or hardware.
d. We may limit your access to the Allied Media Platforms if you are located outside of New Zealand. To prevent the use of the Allied Media Platforms (or any part of the Platforms) outside of New Zealand, we may need to verify your location.
5. Intellectual property
a. All intellectual property rights in the Allied Media Platforms, including all Platform Material, are owned by Allied Media or its third-party licensors.
b. You must not, without our prior written consent:

Without limiting clause 5(b), you must not share, distribute, reproduce, publish, communicate, forward or otherwise make available any Subscriber-only Content to any third party, including by sharing account credentials, forwarding articles, reproducing content within an organisation, or distributing copies of Platform Material, except as expressly permitted by us in writing.
d. You acknowledge that all Platform Material is subject to New Zealand and/or international copyright laws including but not limited to the Copyright Act 1994 (New Zealand). We reserve the right to take all steps necessary to prevent the unauthorised use, copying reproduction, distribution or exploitation of any part of the Allied Media Platforms or Platform Material.
6. Your Submissions
a. You may submit content, information or materials (including written works (e.g. letters to the editor, opinion pieces, images, video, audio and other materials, e.g. responses to polls and promotional competitions) to Allied Press through the Allied Media Platforms (Submissions), including via online forms and other interactive features available on the Allied Media Platforms.
b. By making any Submission, you represent and warrant that:
c. We may review, moderate, modify, remove, delay publication of, or refuse to publish any Submission for any reason at our sole discretion.

By making any Submission, you grant us a non-exclusive, royalty-free, worldwide, perpetual, transferable licence to use, reproduce, publish, communicate and distribute the Submission in connection with Allied Media's business and publications, including without limitation to publish your Submission (either in its original form or as modified) on our Allied Media Platforms and/or in our print publications, or using your Submission where required to comply with any legal processes, including responding to third party claims, or enforcing our legal rights.
e. Without limiting clause 6(d), you acknowledge that our use of your Submission may include licensing use of that Submission to a third party or using your Submission for advertising purposes. Subject to our compliance with applicable privacy laws, you acknowledge that by making any Submission to us, we are not obliged to obtain your prior approval to our use of your Submission.
f. To the extent permitted by law, you indemnify us against any loss or damage of any kind whatsoever arising from, or in connection with, any breach by you of the representations and warranties set out in clause 6(b) above.
7. Privacy
You acknowledge and agree that any personal information you provide us through the Allied Media Platforms will be handled in accordance with our Privacy Statement (available here).
The Allied Media Platforms use cookies, third party analytics and similar technologies to collect information about your use of the Platforms and to improve functionality and user experience. Further information regarding the use of these technologies on the Allied Media Platforms is set out in our Privacy Statement.
If you provide us with personal information about any other individual via the Allied Media Platforms, you warrant and represent that you have obtained that individual's authorisation to share the relevant information with us.
8. Termination and suspension rights
a. We may suspend or terminate your access to any of the Allied Media Platforms (or any part of an Allied Media Platform) at any time without notice, if:

In the event your access is terminated, you are no longer authorised to access the Allied Media Platforms (or the relevant part of those Platforms) however all restrictions imposed on you, and all warranties and representations given by you under these Terms (together with all disclaimers and limitations of liability) will continue to apply.
9. Disclaimers
a. We do not give any warranties or representations as to the accuracy or completeness of the information or other content contained in the Platform Material or the Allied Media Platforms. All Platform Material is provided on an “as available” basis, acknowledging that you are responsible for assessing the accuracy and completeness of the Platform Material and rely on it at your own risk.
b. We do not investigate or endorse any person, company or organisation that uses, advertises, posts on or provides Platform Material to the Allied Media Platforms, or any events, information, products or services (Products) offered for sale or otherwise identified or provided by them. The availability of Platform Material does not constitute advice about the appropriateness, value or suitability of any Product, any particular transaction or course of action nor does it constitute any recommendation or endorsement by Allied Media of any Product, transaction or course of action. Any decision that you make about any Platform Material or Products offered, identified or provided through the Allied Media Platforms or advertised on the Allied Media Platforms must be based solely on your own evaluation of your circumstances and objectives and of the Platform Material or Product.
c. The information contained in any Platform Material is general in nature and does not constitute financial advice. We recommend the use of independent financial or professional advisors before making any investment decisions.
d. Without limiting clause 11 of these Terms, we are not responsible for, and to the maximum extent permitted by law, will have no liability in respect of, any third-party content, Submission, or third-party advertising or promotional material.
10. Our liability
a. Your use of the Allied Media Platforms is at your own risk.
b. To the maximum extent permitted by law, we will not be liable for any loss or damage (including indirect or consequential loss, loss of profit, loss of revenue or loss of data) arising from or in connection with:

We are not responsible for any delay, interruption, suspension or unavailability of the Allied Media Platforms arising from events beyond our reasonable control, including failures of telecommunications networks, internet services, hosting providers, cloud services or other third-party technology providers, cyber security incidents, natural disasters, pandemics, industrial disputes, government actions or utility outages. During any such event, we may suspend, restrict or modify access to all or any part of the Allied Media Platforms.
d. Nothing in these Terms excludes or limits any rights or remedies you may have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot be excluded or limited by law.
e. To the maximum extent permitted by law, you agree to indemnify and hold Allied Media harmless from any and all claims and liabilities relating to your use of the Allied Media Platforms or their use by any person authorised by you.
11. Third‑party content
a. The Allied Media Platforms may include advertising and promotional material or other content provided by third-parties, including advertisers.
b. You acknowledge that the third-party websites may be accessed or linked to through the Allied Media Platforms and that we have no control over such third-party sites. If you have any concerns or questions regarding a third-party website or any third-party product or content accessed through the Allied Media Platforms, please contact the relevant third-party.

12. General
a. We may amend these Terms from time to time by posting a revised version on the Allied Media Platforms. Amendments to these Terms will be effective immediately upon posting.
b. We reserve the right to change the Platform Material, and/or the availability of any Platform Material on the Allied Media Platforms, at any time without notice.
c. These Terms are intended to be for the benefit of Allied Media's related companies (as that term is defined in the Companies Act 1993 (NZ)) and this agreement may be enforceable by them under Part 2, Subpart 1 (Contractual Privity) of the Contract and Commercial Law Act 2017.
d. You are solely responsible for your costs associated with your access to and use of the Allied Media Platforms, including internet service provider charges and the costs of any devices or other hardware or software required to access and use the Allied Media Platforms.
e. If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions will continue in full force and effect.
f. No waiver of any provision in these Terms shall be deemed to be a continuing waiver of such provision or a waiver of any other provision. Any failure to assert any right under these Terms shall not constitute a waiver of such right.
g. If a dispute arises in connection with these Terms or your use of the Allied Media Platforms, you will use reasonable efforts to resolve the dispute directly with us before commencing legal proceedings, except where urgent interlocutory or injunctive relief is required.
h. These Terms are governed by the laws of New Zealand. You agree to submit to the non-exclusive jurisdiction of the courts of New Zealand in respect of any dispute arising in relation to these Terms.
13. Defined terms
a. In these Terms, unless the context requires otherwise:
Allied Media Platforms means the mobile applications and websites owned and operated by us from time to time, including without limitation the platforms operated under the domain names www.alliedmedia.co.nz and www.odt.co.nz.
Platform Material means any information, data, text, software, illustrations, photos, audio or video or any combination of these and/or other material displayed or otherwise made available on the Allied Media Platforms.
Submission has the meaning given in clause 6(b) of these Terms.
Subscriber means a person who has access to Subscriber-only Content through an Allied Media Platform pursuant to a subscription with Allied Media.
Subscriber-only Content means Platform Material and other content that is not available to the public on the Allied Media Platforms, and which we make accessible only to Subscribers.
Subscriber Terms means the subscriber terms available here (as may be updated by us from time to time).
Subscription means a subscription purchased from us for access to one or more of our print and/or digital products.
